Terms and Conditions of Sale and Use

1. Preamble

These Terms and Conditions of Sale and Use (hereinafter "TCS/TU") are intended to define the terms and conditions under which Smarting Block, a limited liability company registered with the Bordeaux Trade and Companies Register under number SIRET 950 842 849 (hereinafter "the Seller"), provides users (hereinafter "the Buyer") with access to a GitHub repository containing a Next.js 15 boilerplate.

2. Description of the Service

The Seller offers for sale access to a private GitHub repository containing a Next.js 15 boilerplate. Once payment is made, the Buyer becomes a collaborator of the repository and can access the source code for their own use. However, the Buyer does not have write access to the repository (no commit pushes).

3. Payment and Access Terms

• Payment is one-time and allows immediate access to the repository after validation. • The price is displayed in euros or dollars depending on the relevant region and may be subject to VAT according to the applicable legislation. • Payment is made through secure payment methods offered by the payment provider Stripe. • No subscription or recurring fees are associated with this access.

4. No Refunds

Given the nature of the product (immediate access to source code), no refunds will be granted after purchase.

5. Usage Rights and Restrictions

• The Buyer is free to use the boilerplate for personal or commercial projects. • The Buyer is not authorized to resell, redistribute, or publicly share the source code as is. • Any violation of these rules may result in revocation of access without refund.

6. Support and Updates

• No technical support or guaranteed updates are included with the purchase. • The Seller may, at its discretion, offer updates or improvements, but without contractual obligation.

7. Liability

The Seller shall not be held liable for any direct or indirect damages caused by the use of the boilerplate, including in the event of bugs, failures, or incompatibility with other systems.

8. Data Protection

The information collected during the purchase is used solely for managing access to the repository and will not be shared with third parties.

9. Applicable Law and Disputes

These TCS/TU are subject to French law. In the event of a dispute, the parties agree to seek an amicable solution before any legal action. Failing agreement, the competent courts will be those within the jurisdiction of the Bordeaux Trade and Companies Register.
